Omnia Della Toffola S.p.A. announces the princing of its €500.0 million senior secured floating rate notes due 2031.

 

Trevignano (Treviso), Italy, October 24, 2024 – Omnia Della Toffola S.p.A. (the “Issuer”), a wholly-owned direct subsidiary of Omnia Technologies S.p.A. (the “Company”), announces today that it has successfully priced an offering of €500.0 million in aggregate principal amount of Senior Secured Floating Rate Notes due 2031 (the “Notes”), which will be issued at an issue price of 99.000% and will bear interest at a rate equal to three-month EURIBOR (subject to a 0% floor) plus 4.250% per annum, reset quarterly (the “Offering”). The Offering is expected to close on November 5, 2024, and is subject to customary closing conditions.

 

Upon issuance, the Notes are expected to be listed on one or more multilateral trading facilities in the European Union.

 

The proceeds from the Offering are expected to be used, directly or indirectly, together with cash on the Issuer’s balance sheet, to (i) repay in full the indebtedness, including accrued and unpaid interest thereon, incurred under the Issuer’s existing senior facilities and other financings, and cancel any commitments thereunder, (ii) subsequently fund the repayment of the deferred purchase price of certain acquired entities, (iii) fund a distribution to the indirect shareholders of the Issuer, and (iv) pay certain fees and expenses in connection with the foregoing transactions.
